7.3 Essential Terms
You acknowledge that the limitations in this section are essential and agreed-upon allocations of risk between you and SPSS. These limitations shall apply regardless of the legal theory (contract, tort, strict liability, etc.) under which damages are claimed.
Important: Some jurisdictions do not permit the limitation of liability. To the extent such limitations are not permitted, this provision shall be modified to the minimum extent necessary to comply with applicable law.
8. Indemnification
You agree to indemnify and hold harmless SPSS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to:

11. Disclaimers and Warranties

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflicts of law provisions. Both parties consent to the exclusive jurisdiction of the courts located in Lagos, Nigeria.
For users outside Nigeria, you may bring claims in your local jurisdiction if permitted by applicable law. However, you acknowledge that any dispute will ultimately be governed by Nigerian law.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating formal proceedings, the parties agree to attempt to resolve disputes informally. You must notify SPSS in writing of any dispute, and the parties will attempt good-faith negotiation for 30 days.
13.2 Escalation Process
If informal resolution is unsuccessful, either party may escalate the dispute to senior management for further resolution attempts before pursuing legal action.
13.3 Arbitration Clause
For disputes that cannot be resolved through negotiation, the parties may agree to binding arbitration as an alternative to litigation. Arbitration shall be conducted in accordance with applicable arbitration rules.
13.4 Waiver of Class Action
You agree that any dispute resolution proceedings shall be conducted on an individual basis, not as a class action, class proceeding, or collective action.
Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions shall remain in effect.
Entire Agreement: These Terms, together with any applicable service agreements, privacy policy, and other policies referenced herein, constitute the entire agreement between you and SPSS regarding the Services and supersede all prior negotiations, representations, and agreements.
